Terms of Use

These Terms of Use, in conjunction with our Privacy Notice, and the Data Processing Addendum incorporated herein by this reference, constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and 52 hertz Ltd, a company registered in Bulgaria, UIC 205315895 (“Celestical”, “we”, “us”, or “our”), concerning your access to and use of the celestical.me website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Website”, “Site”, or “Services”).

Here a few additional terms we use throughout this document:

• Users (also referred to as “Customers”) are people or businesses who have registered an account.
• Schedulers are people who have booked a meeting with a User, but may not have registered for an account of their own.
• ‌ Viewers (also referred to as “Visitors”) are people who visit the Website, but may not be a User or Scheduler.

You agree that by accessing the Site, you have read, understood, and agree to be bound by all of these Terms of Use.

If you do not agree with all of these terms of use, then you are expressly prohibited from using the site and you must discontinue use immediately.

Acceptable Use

Celestical facilitates the scheduling of meetings between Users and Schedulers. You may use these Services for your individual purposes and not for the purpose of reselling.

Intellectual Property Rights

• All content posted on the Services must comply with copyright law of the European Union and U.S. copyright law.
• You give us a limited license to use the content posted by you in order to provide the Services to you, but we claim no ownership rights over those materials. All materials you submit to the Services remain yours.
• We do not pre-screen content, but we reserve the right (but not the obligation) in our sole discretion to refuse or remove any content that is available via the Services.
• Celestical or its licensors own all right, title, and interest in and to the Services, including all intellectual property rights therein, and you obtain no ownership rights in the Services as a result of your use. You may not duplicate, copy, or reuse any portion of the HTML, CSS, JavaScript, or visual design elements without express written permission from Celestical. You must request permission to use Celestical’s logos or any Service logos for promotional purposes.
• You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Services, use of the Services, or access to the Services without the express written permission of Celestical.
• If you send us suggestions, ideas, or feedback about the Services, we may use them without attribution, compensation, confidentiality owed or any other obligation to you.

User Registration

In order to create scheduling links to facilitate booking events, you will need to register for an account with Celestical. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change the individual URL you select if we determine, in our sole discretion, that such a URL is inappropriate, obscene, or otherwise objectionable.

By using Celestical, you represent and warrant that:

• all registration information you submit will be true, accurate, current, and complete
• you will maintain the accuracy of such information and promptly update such registration information as necessary
• you have the legal capacity and you agree to comply with these Terms of Use
• you are established in a member state of the European Economic Area, you must let us know if your country of establishment changes
• you are not a minor in the jurisdiction in which you reside
• you will not access our Services through automated or non-human means, whether through a bot, script or otherwise
• you will not use our Services for any illegal or unauthorized purpose
• your use of our Services will not violate any applicable law or regulation

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of Celestical (or any portion thereof).

Fees & Payment

Our Services are currently free to use.

We reserve the right introduce paid plans in the future. If we do, we will give you, a reasonable advance notice.

You remain responsible for any costs associated with your own equipment, internet access, and third-party services.

Cancellation & Termination

You can cancel your account by contacting us at [email protected]. A 30-day grace period applies before permanent deletion of your account and any data associated with it.

We may suspend or terminate your account immediately, and without prior notice, for breaching these Terms or any other reason. In that case, your public-facing content is removed promptly, and the grace period above does not apply. We may retain your data where we have a legal obligation to do so, or where retention is necessary to establish, exercise, or defend legal claims, and will delete it once those purposes have been served.

Electronic Communications

Using our Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communication be in writing.

You hereby agree to the use of electronic signatures, contracts, orders, and other records, and to electronic delivery of notices, policies, and records of transactions initiated or completed by us or via the site.

You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.

Prohibited Activities

You may not access or use our Services for any purpose other than that for which we make them available. Our Services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us. Violating these terms may result in suspension or deletion of your Celestical account.

You must not:

• Use the Services to carry out or support unlawful activity.
• Use the Services, or information you obtain through it, to harass, abuse, threaten, or harm other users or any other person.
• Attempt to trick, defraud, or mislead us or other users — for example, by phishing for account credentials, misrepresenting bookings, or social-engineering our support channels.
• Harass, threaten, or intimidate Celestical employees or representatives.
• Send spam or unsolicited communications through booking notes, booking forms, or any other channel the Services provide.
• Collect usernames, email addresses, or other contact information from the Services for the purpose of sending unsolicited messages.
• Scrape, crawl, or automate access to Celestical except through features we expressly provide for that purpose.
• Reverse-engineer, decompile, or attempt to derive the source code of the Services.
• Upload or transmit viruses, worms, trojans, or other code designed to damage, disrupt, or covertly interact with systems or data.
• Probe, test, or attempt to breach the security of the Services without our prior written permission.
• Impersonate any person or entity, or misrepresent your affiliation with Celestical or with us.
• Create accounts by automated means or in bulk.
• Sell, sub-license, or transfer your account, booking page, or account credentials to a third party.
• Remove, obscure, or alter any copyright, trademark, or other proprietary notice appearing in the Services.
• Use the Services to build, operate, or support a competing service.
• Interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to Celestical
• Sell or otherwise transfer your account and/or profile.
• Use the Services to solicit data falling within the special categories under Article 9(1) GDPR, without a lawful basis under Article 9(2) GDPR.

Links to Third-Party Websites

Celestical may contain (or you may be sent via Celestical) links to other websites (“Third-Party Websites”) as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties (“Third-Party Content”).

Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third-Party Websites accessed through Celestical or any Third-Party Content posted on, available through Celestical, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Websites or the Third-Party Content.

Inclusion of, linking to, or permitting the use of any Third-Party Websites or any Third-Party Content does not imply approval or endorsement thereof by us.

If you decide to leave Celestical and access the Third-Party Websites or to use or install any Third-Party Content, you do so at your own risk, and you should be aware these Terms of Use no longer govern. You should review the applicable terms and policies, including privacy and data gathering practices, of any website to which you navigate from Celestical or relating to any applications you use. Any purchases you make through Third-Party Websites will be through other websites and from other companies, and we take no responsibility whatsoever in relation to such purchases which are exclusively between you and the applicable third party. You agree and acknowledge that we do not endorse the products or services offered on Third-Party Websites and you shall hold us harmless from any harm caused by your purchase of such products or services. Additionally, you shall hold us harmless from any losses sustained by you or harm caused to you relating to or resulting in any way from any Third-Party Content or any contact with Third-Party Websites.

Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of:

• your Contributions
• use of the Site
• breach of these Terms
• any breach of your representations and warranties set forth in these Terms
• your violation of the rights of a third party, including but not limited to intellectual property rights
• any overt harmful act toward any other user of the Site with whom you connected via the Site

Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

Disclaimer

Your use of the Services is at your sole risk. We provide these Services on an “as is” and “as available” basis. We do not offer service-level agreements.

We do not warrant that the Services will be uninterrupted, error-free, secure, free from loss of data, or that any defect will be corrected. Celestical is currently in beta; features may change, be removed, or behave unpredictably.

Liability

You agree that Celestical is not liable to you or to any third party for damages of any kind that result from the use of the Services, inability to access data, or unauthorized access of your data or account. Celestical is also not liable for damages of any kind related to actions of any third party that uses the Services, or any other consequences related to these Terms.

Governing Law

These Terms of Use and your use of Celestical are governed by and construed in accordance with the laws of the Republic of Bulgaria, without regard to its conflict of law principles.

Before starting formal proceedings, we ask that you first contact us at [email protected] and try to resolve the dispute in good faith.

Force Majeure

Neither party shall be responsible for any failure to perform, or delay in performing, obligations under these Terms where the failure or delay results from causes beyond the affected party’s reasonable control. Such causes include, without limitation, natural disasters, war, civil unrest, governmental actions, labor disputes, internet or power outages, pandemics, and failures or disruptions of third-party services on which the Services rely.

Changes

We may amend our Terms at any time by publishing revised Terms on our Website and/or by sending an email to the address you gave us. These Terms are current as of the “Last updated” date set forth above. If any changes are made to these Terms, we’ll post them on this page, so please be sure to check back from time-to-time.

If you continue to use Celestical after those changes are in effect, you agree to the revised Terms. If you object to any such modifications, your sole recourse will be to cease using this Website.

Celestical reserves the right to change any and all features of our Services, at any time, without prior notice.
